How the filing works in Virginia
Virginia asks for one formation filing. Everything else on this list is either done before that filing or follows from it.
- Search the register. Before filing, look the name up on the State Corporation Commission (SCC) site[3]. A name too close to an existing Virginia entity will be rejected.
- Line up the registered agent. The filing lists who receives legal papers for the company. Virginia allows A Virginia resident who is a member, manager or officer of the LLC (or of an entity that manages it) or a member of the Virginia State Bar, or a corporation, LLC or registered LLP authorized in Virginia.[4]
- Submit Form LLC-1011 and pay $100. The State Corporation Commission (SCC) reviews the filing; the LLC exists once it is accepted[2].
- Write an operating agreement. It sets out ownership and how decisions are made. It stays with the company's records and is not part of the state filing.
- Apply for an employer identification number. The IRS issues it free; it is needed to open a business bank account or hire.
- Mark the report deadline. Virginia LLCs file the Annual Registration Fee every year ($50)[5]. The deadline: last day of the LLC's anniversary month[6].
The fee, in context
At $100, Virginia's fee is equal to the 50-state median of $100. Among the other states, 16 states charge less and 24 charge more.
